Terms & Conditions

The terms governing freight brokerage services provided by Transport Logistics Ltd.

1. About these terms

These Terms and Conditions ("Terms") govern all quotations, bookings and freight brokerage services provided by Transport Logistics Ltd (NZBN registered, "we", "us", "our") to its customers ("you", "your"). By engaging us to arrange the carriage, storage or handling of any goods you agree to be bound by these Terms.

2. Nature of our service

We act as an independent freight broker and forwarding agent. We arrange the transport of goods by sea, road and rail through third-party carriers. We are not the carrier of the goods unless expressly stated in writing.

Where we engage a carrier on your behalf, the carriage is performed under the carrier's own conditions of carriage and applicable industry conditions (including the Contract and Commercial Law Act 2017 (NZ), the Carriage of Goods Act, the Maritime Transport Act 1994 and any applicable international conventions).

3. Quotations

Quotations are based on the information you provide and are valid for 14 days unless stated otherwise. Quotations may be revised if cargo description, dimensions, weight, route, timing, fuel costs, port charges, exchange rates or statutory levies change between quote and despatch.

4. Your obligations

  • Provide accurate and complete cargo details (description, weight, dimensions, value, hazard classification).
  • Ensure goods are properly packed, marked, labelled and (where required) certified for transport.
  • Disclose any dangerous, perishable, fragile or high-value items at the time of booking.
  • Obtain any required permits, licences and customs documentation for international movements.
  • Pay all charges in accordance with our invoices.

5. Dangerous goods

Dangerous goods (as defined under the NZS 5433 standard or the IMDG Code) must not be tendered to us without prior written agreement and full declaration. We reserve the right to refuse, repack, off-load or destroy undeclared dangerous goods at your cost.

6. Charges and payment

All charges are quoted in New Zealand Dollars and are exclusive of GST unless stated. Invoices are payable on the 20th of the month following invoice date unless otherwise agreed. Overdue accounts may incur interest at 1.5% per month and recovery costs.

7. Liability

As a broker, our liability is limited to the exercise of reasonable care and skill in the selection and instruction of carriers. We are not liable for loss or damage caused by the carrier, by acts of God, by inherent vice in the goods, by insufficient packaging, by customs or port authority action, or by any other cause beyond our reasonable control.

Where we are found liable for any loss or damage, our total liability is limited to the lesser of (a) the freight charges paid for the affected consignment, or (b) the limits set out in the carrier's conditions of carriage or the applicable international convention.

We are not liable for indirect, consequential or economic loss (including loss of profit, loss of market or delay-related loss) under any circumstances.

8. Insurance

The default carrier liability is limited and may not cover the full value of your goods. We strongly recommend you arrange marine/transit insurance for the full replacement value of your cargo. We can arrange cover on request.

9. Claims

Any claim for loss, damage or non-delivery must be notified in writing within 7 days of delivery (or expected delivery date) and supported by documentary evidence. Failure to notify within this period may invalidate the claim.

10. Lien

We have a general and particular lien over all goods and documents in our possession or control for all sums owing by you to us, whether in respect of the current consignment or any other.

11. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including weather, port congestion, industrial action, government action, pandemics or carrier failure.

12. Governing law

These Terms are governed by the laws of New Zealand and any dispute is subject to the exclusive jurisdiction of the New Zealand courts.
